Terms and Conditions
Professor Bill's LadderLab — The Learning Pit Inc., Ontario, Canada
These Terms and Conditions ("Agreement") govern the use of Professor Bill's LadderLab software and related services provided by The Learning Pit Inc., Ontario, Canada ("The Learning Pit," "we," "us," or "our"). By installing, accessing, purchasing, or using the software, you agree to these Terms and Conditions.
1. License Grant
The Learning Pit Inc. grants the purchaser a limited, non-exclusive, non-transferable license to use Professor Bill's LadderLab for educational and training purposes in accordance with this Agreement.
2. Permitted Use
The software is intended solely for educational, instructional, and training use. It is not intended for operation of real industrial machinery, safety-critical systems, or production environments.
3. Restrictions
Users may not:
- Reverse engineer, decompile, or disassemble the software except where expressly permitted by law.
- Redistribute, resell, sublicense, or share activation keys without written permission.
- Modify or remove copyright notices or proprietary markings.
- Use the software in violation of applicable laws or regulations.
4. License Keys and Support
Single-user licenses are intended for one PC or one user unless otherwise specified. Support for license transfers due to PC failure or replacement is generally provided for two years from purchase. The Learning Pit reserves the right to refuse unreasonable or abusive transfer requests.
5. Site Licenses
Institutional and site licenses are subject to the seat limits and conditions specified at the time of purchase. Institutions are responsible for ensuring compliance with licensed seat counts.
6. Software Updates
The Learning Pit may provide updates, bug fixes, or enhancements at its discretion. Nothing in this Agreement obligates The Learning Pit to provide future updates or features.
7. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OPERATION.
8. Limitation of Liability
To the maximum extent permitted by law, The Learning Pit Inc., its officers, employees, contractors, and affiliates shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from the use or inability to use the software. This includes, without limitation, damages for loss of data, loss of business, loss of profits, interruption of operations, or equipment damage. In all cases, the total liability of The Learning Pit Inc. shall not exceed the amount paid for the software license.
9. Educational Use Disclaimer
Professor Bill's LadderLab is a training simulator intended to assist students and instructors in learning PLC concepts. The software is not certified for industrial control, safety systems, or operational deployment in live facilities.
10. Payment and Refunds
All sales are final unless otherwise required by applicable law. Refund requests may be considered at the sole discretion of The Learning Pit Inc.
11. Privacy
The Learning Pit may collect limited customer information necessary for processing purchases, providing support, and maintaining license records. Customer information will not be sold to third parties.
12. Governing Law
This Agreement shall be governed by the laws of the Province of Ontario and the applicable laws of Canada, without regard to conflict of law principles.
13. Severability
If any provision of this Agreement is found unenforceable, the remaining provisions shall remain in full force and effect.
14. Entire Agreement
This Agreement constitutes the complete agreement between the parties regarding the software and supersedes prior communications relating to the software license.
